Settoo Terms of Use

Effective date: 4 November 2026 · Version 1.0

These Terms are between you and Settoo LLC, a Delaware limited liability company ("Settoo," "we," "us"). They govern the Settoo app and related event-planning pages and features (the "Service"). Contact us at info@settoo.app.

Key points: You must be at least 16. You control what you share and remain responsible for your event arrangements. Settoo does not run your event, verify every participant or process event payments. These Terms include limits on warranties and liability, subject to rights that cannot lawfully be limited. They do not impose mandatory arbitration or a class-action waiver.

1. Agreeing to these Terms

When you select a control that clearly says you agree to these Terms, or otherwise accept them through a legally valid process, you agree to be bound by them. If you do not agree, do not create an account or use the Service. Our Privacy Policy explains how we handle personal information; it is not a request for blanket consent to every form of processing.

If you use Settoo on behalf of an organisation, you confirm that you are authorised to bind it, and "you" includes that organisation as appropriate. You cannot accept these Terms for other event participants merely by inviting them.

2. Who can use Settoo

You must be at least 16, meet any higher applicable age requirement, and be legally permitted to use the Service. If you are below the age of legal majority where you live, a parent or legal guardian must review these Terms and agree to your use where required by law. Do not use the Service if local law prevents you from entering this agreement and the necessary parent/guardian arrangements are not in place.

You must not create an account with false eligibility information, impersonate someone else or evade a lawful account restriction. Worldwide availability does not mean every feature is lawful or suitable in every location. We may restrict availability where necessary for legal, safety or operational reasons.

3. Your account and communications

Provide accurate registration information and keep your credentials secure. You are responsible for activity you authorise and for taking reasonable steps to prevent misuse. You are not automatically responsible for every unauthorised action regardless of fault or applicable law. Tell us promptly if you suspect compromise.

We may send verification, recovery, security and important service notices to your account email or through the app. Optional notifications are subject to available settings and device permissions. These Terms do not constitute consent to unrelated marketing or analytics that requires separate consent.

4. What Settoo provides

Settoo helps people organise event details, invitations, attendance, chat, photos, a shared Bring List, personal To-Do tasks, payment records and personal reminders. The current event-planning service is free to use; you remain responsible for your internet, device and external-service charges. We will provide separate pricing and terms before introducing chargeable features. These Terms do not sign you up for an automatically renewing subscription.

Provider listings, supplier bookings, marketplace orders and paid provider subscriptions are not part of this release.

We may improve or change the Service. If we discontinue a significant feature or the Service, we will give reasonable notice and, where practicable and legally required, an opportunity to retrieve relevant information. Urgent changes may be necessary for security, misuse or legal reasons. We will not use this clause to remove mandatory rights or avoid obligations already incurred.

5. Your events and the people involved

Event organisers and participants—not Settoo—decide whether, where and how an event happens. You are responsible for checking dates, locations, suitability, permissions, accessibility, legal requirements, safety and arrangements relevant to your role. Settoo does not supervise events, check every participant's identity or background, insure attendance, or guarantee anyone's conduct or commitments.

Admins can manage membership and shared content through available controls. Being an admin does not make you Settoo's agent or authorise you to act for us. Use other people's contact information only when you are entitled to do so, and do not send unwanted, misleading or unlawful invitations.

Invitation links may be forwarded. A profile, invitation or attendance response is not proof of identity. Personal reminders are controlled by the individual user. Archiving an event does not remove membership or necessarily stop notifications. Check important arrangements independently; do not rely on Settoo as an emergency, medical, safety-critical or guaranteed alarm service.

These provisions explain the division of responsibilities; they do not release Settoo from liability for its own conduct where the law makes it responsible.

6. Payment requests and external links

An organiser may enter an amount, currency and external payment link. A participant's "paid" status is a self-report, not confirmation from a bank, evidence of settlement or a Settoo-issued receipt.

Settoo does not hold, collect, transfer or safeguard money through this feature and is not acting as your bank, payment processor, escrow agent or financial adviser. We do not guarantee that a payment link or request is accurate, legitimate or refundable. Verify the recipient, amount, currency and external service before paying. Do not share card credentials or banking passwords in Settoo.

External transactions are governed by the relevant provider's terms and your arrangement with the organiser. Contact them about payment execution, cancellations, refunds and chargebacks. This allocation does not remove any remedy you have against Settoo for its own actionable conduct or any mandatory consumer protection.

7. Your content

Ownership and permission to operate

You keep ownership of the content you contribute, subject to rights held by others. You give Settoo a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display and technically adapt that content only as reasonably needed to provide, maintain, secure and support the Service and fulfil your sharing instructions. Technical adaptation includes resizing images and formatting content for devices, not selling your content for unrelated purposes.

We may allow our operational providers to exercise those rights solely to perform services for us, under appropriate obligations. This licence does not transfer your ownership or give us an unrestricted right to advertise with your private messages or photos.

The licence lasts while the content is retained for those purposes and for any limited continued retention permitted under our Privacy Policy and applicable law. It does not permit us to retain personal information indefinitely merely because a licence was granted. Others may retain copies they lawfully received; we cannot erase screenshots or material outside our control.

Your responsibilities

You must have the rights and permissions needed to upload and share content, including appropriate permissions for other people's personal information and images. Do not upload information you are legally required to keep confidential or material whose sharing would put someone at risk. Share only what is appropriate for the event audience, especially when it concerns children.

We do not approve or endorse every user contribution and are not required to screen everything before it appears. We may investigate, restrict or remove content consistent with these Terms and applicable law.

8. Unacceptable use

Do not use Settoo to:

Event admins may set additional lawful rules for their events, but cannot override these Terms or a participant's rights.

9. Reporting, copyright and enforcement

Use the available in-app reporting and blocking controls, or report harmful content, misuse, infringement or account concerns to info@settoo.app. Blocking limits supported discovery, invitation and content interactions; it does not automatically remove either person from shared events or erase copies already received. Include enough detail to locate the relevant account/content and explain your concern. Do not send passwords or unnecessary sensitive material. For immediate danger, contact the relevant emergency services; Settoo support is not an emergency response service.

For a copyright complaint, identify the protected work, the material complained of and its location, your contact details and the basis of your authority. We may request the declarations or other information required by applicable procedures. Where applicable, we will provide appropriate opportunities to respond or challenge a decision. Knowingly false notices or misuse of reporting tools are prohibited.

We may remove content, limit features, suspend or terminate access when reasonably necessary to address a material breach, fraud, security risk or legal requirement. We consider the seriousness and circumstances and give reasons, notice and an opportunity to challenge a decision where required and appropriate. We may act without advance notice where delay could create harm, compromise an investigation or violate law. We do not promise to disclose information that would compromise another person's privacy or security.

To ask for review, contact info@settoo.app with the relevant decision details. Nothing here guarantees a statutory safe harbour or replaces any formal notice, counter-notice or appeal procedure that applies by law.

10. Leaving and deleting an account

You may stop using the Service and leave events through available controls. Open Settings → Delete account to start account deletion. You can also use our account-deletion page or contact info@settoo.app for deletion or assistance. We may need to verify your request proportionately; we will not ask for your password.

When you delete your account, your profile, personal tasks, personal settings and uploaded photos are removed, while shared events may remain for other participants. Retained shared messages/activity use a "Deleted user" label rather than your profile identity. Identifying details within content require separate handling; a changed display label alone does not make content anonymous. If you are the only admin of a shared event, its administration must be transferred or the event deleted as part of the process, rather than leaving remaining users with an unmanaged event. This is not a reason to prevent you indefinitely from requesting account deletion.

The Privacy Policy explains lawful exceptions, shared-content considerations and backups. We may preserve limited information needed for legal obligations, security or claims, with appropriate access restrictions. Leaving an event, archiving it, uninstalling the app or signing out does not itself delete your account.

11. Our intellectual property and your app licence

The Service's software, design, branding and other Settoo materials belong to Settoo or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose on devices you are entitled to use. Mandatory legal rights and applicable app-store usage rules remain unaffected.

Do not copy, sell, sublicense or reverse-engineer the Service except with permission or where the law permits it. Third-party and open-source components remain subject to their applicable licences. Sending suggestions does not transfer ownership of your existing intellectual property, but you permit us to use voluntary feedback without payment or obligation of confidentiality unless we agree otherwise in writing. Do not send confidential ideas unless we have agreed to receive them on that basis.

12. Availability and warranties

To the extent permitted by applicable law, the Service is provided "as is" and "as available." We do not make implied warranties of merchantability, fitness for a particular purpose or non-infringement, or guarantee uninterrupted, error-free or entirely secure operation.

Messages, reminders, links and user-supplied information can be delayed, inaccurate or unavailable. Keep independent records of important arrangements and use appropriate safeguards when meeting or paying other people. Features clearly labelled beta or preview may contain additional defects; using them is optional.

These disclaimers do not exclude any warranty, required level of care or consumer remedy that the law does not allow us to exclude. They are not a disclaimer of our obligations under the Privacy Policy or applicable data-protection law.

13. Limits on liability

To the extent permitted by applicable law, Settoo and its personnel will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, business opportunities or data arising from the Service. To the same extent, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of US$100 or the amount you paid Settoo for the Service in the 12 months before the event giving rise to the claim. Event contributions paid to organisers or external payment providers are not amounts paid to Settoo.

The exclusions and cap apply regardless of the legal theory, but only where enforceable. They do not limit liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability or remedy that cannot lawfully be limited, including applicable statutory privacy and consumer rights. If you are a consumer, mandatory law may provide additional protections or render some limits inapplicable. Nothing requires you to waive those rights.

14. Responsibility for third-party claims

Where permitted by law, you agree to cover reasonable losses, liabilities and legal costs arising from a third-party claim to the extent caused by your unlawful content, intentional misuse of the Service or material breach of these Terms. This obligation does not cover losses caused by Settoo's own fault and does not impose an obligation on a consumer where prohibited or unfair under applicable law.

We will give reasonably prompt notice of a claim, allow reasonable participation in its defence and avoid settlement that imposes an admission or non-monetary obligation on you without your agreement. We may control the defence where appropriate, acting reasonably and taking account of conflicting interests. You must not settle a claim on our behalf without our agreement.

15. Disputes and applicable law

Please first contact info@settoo.app with the issue and the outcome you seek. We will try to resolve it informally. This is not a condition that prevents urgent relief, a regulator complaint, a mandatory statutory remedy or filing before a legal deadline.

Subject to mandatory applicable law, these Terms are governed by Delaware law, excluding conflict-of-law rules. Subject to the following consumer protections, courts with jurisdiction in Delaware will hear disputes arising from these Terms or the Service.

If you are a consumer, these provisions do not deprive you of mandatory protections under the law of your habitual residence or any right to bring proceedings in courts available to you under mandatory law. Where a local law requires a different governing law or forum, that law or forum applies. There is no mandatory arbitration agreement or class-action waiver in these Terms, and no contractual shortening of statutory claim periods.

16. Changes and general provisions

We may update these Terms for changes to the Service, security, business operations or law. We will update the effective date and provide reasonable advance notice of material changes, normally at least 30 days, unless a shorter period is required for urgent legal/security reasons or the change benefits you without reducing rights. Changes do not apply retroactively to existing disputes. Where affirmative agreement is legally required, we will obtain it. You may stop using the Service if you disagree, and retain any applicable cancellation or other rights.

If a provision cannot be enforced, the remaining provisions continue to apply as far as permitted. A failure to enforce a provision once does not waive it permanently. These Terms and any clearly identified additional terms form our agreement about the Service, without excluding liability for statements or rights that cannot legally be excluded.

You may not transfer your account or agreement without permission, except as required by law. We may transfer our rights and obligations as part of a lawful business transfer, provided this does not reduce protections required by law and required notice or remedies are provided. Assignment does not override the Privacy Policy or data-transfer rules.

Provisions that by their nature should continue after termination—including permitted content retention, intellectual property, liability and dispute provisions—continue only to the extent applicable and lawful.

17. Apple and Google app-store terms

For the iOS app, these Terms are between you and Settoo, not Apple. Your licence is limited to use on Apple-branded products you own or control as permitted by Apple's usage rules, including applicable Family Sharing or volume-purchase rights. Settoo, not Apple, is responsible for the app and its content, any required maintenance/support and applicable warranties. Apple has no obligation to provide maintenance or support. If the app fails to conform to an applicable warranty, you may notify Apple, which may refund any purchase price as required; to the maximum extent permitted by law Apple has no other warranty obligation, and other applicable warranty claims remain Settoo's responsibility.

Settoo, not Apple, is responsible for addressing applicable product-liability, legal/regulatory, consumer-protection, privacy and intellectual-property claims relating to the app, subject to these Terms and applicable law. If a third party claims the app or your possession/use infringes intellectual property, Settoo, not Apple, is responsible for the investigation, defence, settlement and discharge of that claim to the extent required by law and this agreement.

You must comply with applicable third-party terms when using the app. You represent that you are not located in a country subject to a US government embargo or designated by the US government as supporting terrorism, and are not on a US government prohibited/restricted-party list. Use remains subject to applicable export-control and sanctions laws. Apple and its subsidiaries are third-party beneficiaries of the iOS provisions and may enforce them against you.

For the Android app, these Terms are between you and Settoo, not Google. Google Play's applicable terms also govern your use of its store. The store does not become the organiser of your events or the processor of your external event payments merely because you downloaded Settoo there. Nothing in these Terms removes an app store's mandatory obligations.
